INSTANT ALEX TERMS OF SERVICE

Welcome to Instant Alex.

These Terms of Service (“Terms”) govern your access to and use of the Instant Alex website, application, platform, products and services (collectively, the “Services”).

By creating an account, purchasing a paid plan, accessing or using Instant Alex, you agree to these Terms.

If you do not agree to these Terms, you should not use the Services.

1. ABOUT INSTANT ALEX

Instant Alex is a digital platform designed to help business owners with business growth, marketing, content, strategy, education, inspiration, community and related business activities.

The Services may include, depending on your plan and the features available at the time:

  • AI-powered conversations and guidance

  • Personalised recommendations

  • Business and marketing resources

  • Educational content

  • Content and marketing ideas

  • Business profiles

  • Community features

  • Discovery features

  • Events and experiences

  • Business tools

  • Third-party integrations

  • Google Business Profile integration

  • Other features introduced by Instant Alex from time to time

Instant Alex may add, remove or modify features as the platform develops.

2. ELIGIBILITY

You must be legally permitted to use the Services in the country in which you access them.

Instant Alex is intended primarily for adults and business owners.

By using Instant Alex, you confirm that:

  • You are legally capable of entering into a binding agreement; and

  • The information you provide to us is accurate and current.

If you are using Instant Alex on behalf of a business or organisation, you confirm that you have authority to agree to these Terms on its behalf.

3. YOUR ACCOUNT

Some Instant Alex features require you to create an account.

You are responsible for:

  • Providing accurate information

  • Keeping your account information up to date

  • Maintaining the confidentiality of your login credentials

  • Taking reasonable steps to protect your account

  • All activity that occurs through your account unless caused by circumstances outside your reasonable control

You must not:

  • Share your account in a way that violates your plan or these Terms

  • Allow unauthorised people to access your account

  • Impersonate another person or business

  • Create an account using false information

  • Attempt to gain unauthorised access to another user's account

If you believe your account has been compromised, contact us promptly.

4. YOUR BUSINESS INFORMATION

You may provide business information to Instant Alex in order to use certain features.

You are responsible for ensuring that information you provide is accurate and that you have the right to provide it.

You remain responsible for your business, including:

  • Your products and services

  • Your marketing claims

  • Your pricing

  • Your advertising

  • Your customers

  • Your regulatory obligations

  • Your business decisions

Instant Alex provides tools, ideas and information to support you. It does not operate your business for you.

5. AI-POWERED FEATURES

Some Instant Alex features use artificial intelligence.

AI-generated responses, recommendations, ideas, strategies, copy, content and other outputs are generated automatically and may contain errors, omissions or outdated information.

You understand and agree that:

  • AI output may not always be accurate

  • AI output may not be suitable for your particular business or circumstances

  • You should use your own professional judgement when relying on AI-generated information

  • You are responsible for reviewing AI-generated content before publishing, sending or relying upon it

  • Instant Alex does not guarantee that AI-generated content will produce a particular business, marketing or financial result

Instant Alex is not a substitute for qualified legal, financial, tax, medical or other professional advice.

Where a decision could have significant legal, financial, regulatory or other consequences, you should obtain appropriate professional advice.

6. NO GUARANTEE OF BUSINESS RESULTS

Instant Alex is designed to provide tools, education, ideas, guidance and support.

We do not guarantee:

  • A particular level of revenue

  • Increased sales

  • Increased followers

  • Increased engagement

  • Increased website traffic

  • Increased customers

  • Business growth

  • A particular return on investment

  • Viral content

  • Media coverage

  • Any other specific business or marketing outcome

Your results depend on many factors outside our control, including your business model, market, offer, pricing, execution, resources, audience and external conditions.

7. PAID PLANS

Instant Alex may offer free and paid features.

Details of available plans, prices, features and billing periods will be displayed at the time you purchase a plan.

By purchasing a paid plan, you agree to pay the applicable price displayed at checkout.

No in-app purchases

Instant Alex does not currently offer in-app purchases.

Paid plans are purchased through the Instant Alex website or other checkout process made available by Instant Alex.

8. SUBSCRIPTIONS AND RECURRING PAYMENTS

Where a paid plan is offered as a recurring subscription, the subscription will renew automatically according to the billing period selected at checkout unless you cancel before the next renewal.

Before purchasing, the applicable:

  • Price

  • Billing frequency

  • Renewal terms

  • Subscription period

  • Cancellation terms

will be presented to you.

By completing the purchase, you authorise the applicable payment provider to process the recurring payment according to the plan you selected.

9. PAYMENT PROCESSING

Payments may be processed by third-party payment providers.

We may receive information necessary to identify your transaction and manage your subscription, but payment card details may be processed directly by the applicable payment provider.

Your use of a third-party payment service may also be subject to that provider's own terms and privacy policy.

10. CANCELLATION

You may cancel a recurring paid plan in accordance with the cancellation process made available to you.

Unless otherwise stated at checkout or required by applicable law, cancellation will normally prevent the next renewal but will not automatically provide a refund for the period already purchased.

After cancellation, you may generally continue to access the applicable paid features until the end of the period for which you have already paid.

Specific cancellation and refund rights may vary depending on applicable law.

11. REFUNDS

Refunds are handled in accordance with the refund policy applicable to the purchase and any mandatory consumer rights under applicable law.

Where a refund is available, we may require information reasonably necessary to process the request.

Nothing in these Terms is intended to exclude or restrict any consumer rights that cannot legally be excluded or restricted.

12. CHANGES TO PRICING

We may change the price of our Services from time to time.

If you have an existing recurring subscription, we will provide appropriate notice of material price changes where required by applicable law.

Any price change will apply only from the date communicated to you and will not retroactively change a purchase you have already completed.

13. INTELLECTUAL PROPERTY

Instant Alex and its underlying technology, branding, design, content and materials are owned by or licensed to Instant Alex.

This includes, without limitation:

  • The Instant Alex name and branding

  • Logos

  • Visual identity

  • Website design

  • Application design

  • Original educational content

  • Videos

  • Courses

  • Written content

  • Graphics

  • Templates

  • Frameworks

  • AI systems and prompts

  • Software

  • Features

  • Databases

  • Proprietary methodologies

  • The overall structure and organisation of the Services

Except where expressly permitted by these Terms, you may not copy, reproduce, redistribute, sell, license, modify, publish or commercially exploit our proprietary materials without our prior written permission.

14. YOUR USE OF INSTANT ALEX CONTENT

Subject to these Terms and your applicable plan, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use Instant Alex content for your own personal or internal business purposes.

You may use ideas, strategies and information obtained through Instant Alex in your own business.

However, you may not:

  • Resell Instant Alex content

  • Repackage our courses or resources as your own

  • Copy substantial portions of our proprietary materials

  • Upload our paid content to another platform

  • Share paid access with people who have not purchased access

  • Use Instant Alex content to create a competing membership, course or platform

  • Remove copyright, trademark or ownership notices

15. USER CONTENT

You may be able to submit, upload, publish or otherwise provide content through Instant Alex.

This may include:

  • Business information

  • Photos

  • Videos

  • Written content

  • Reviews

  • Comments

  • Questions

  • Profile information

  • Community posts

  • Other materials

You retain ownership of content that you own.

By submitting content to Instant Alex, you grant us the rights reasonably necessary to host, store, process, display and distribute that content as required to provide the Services and the features you have chosen to use.

You confirm that you have the necessary rights and permissions to provide the content.

You must not upload content that:

  • Infringes another person's intellectual property

  • Violates another person's privacy

  • Is fraudulent or misleading

  • Is unlawful

  • Is abusive, threatening or harassing

  • Contains malicious software

  • Violates these Terms

  • Creates a risk to Instant Alex or its users

16. COMMUNITY AND PUBLIC CONTENT

Certain Instant Alex features may allow users to interact with other users or make content visible to others.

You are responsible for anything you choose to publish publicly.

Do not publish confidential business information, passwords, financial information, personal information belonging to another person, or other information you do not have permission to disclose.

We reserve the right to remove content that we reasonably believe violates these Terms, applicable law or the safety of our community.

17. GOOGLE BUSINESS PROFILE INTEGRATION

Instant Alex allows eligible business owners to connect their own Google Business Profile.

This integration is optional.

If you choose to connect your Google Business Profile:

  • You must have the appropriate authority to connect the profile.

  • You authorise Instant Alex to access information necessary to provide the integration.

  • Existing Google reviews may be displayed in Instant Alex as “Love Notes”.

  • Instant Alex may use a Google OAuth refresh token to maintain the authorised connection.

  • Instant Alex does not sell Google Business Profile data.

  • You can disconnect your Google Business Profile at any time.

When you disconnect the integration, Instant Alex will stop making new requests to the connected Google Business Profile, subject to any processing required to complete the disconnection or comply with applicable law.

Your use of the Google integration is also subject to Google's applicable policies and requirements.

Google Business Profile is operated by Google. Instant Alex is not affiliated with, endorsed by or sponsored by Google.

18. PROHIBITED USE

You may use Instant Alex only for lawful purposes and in accordance with these Terms.

You must not:

  • Use Instant Alex for unlawful activities

  • Attempt to gain unauthorised access to our systems

  • Interfere with the operation of the Services

  • Introduce malware, viruses or other harmful code

  • Scrape or systematically extract our content or data without permission

  • Reverse engineer the Services except where such restriction is prohibited by law

  • Circumvent subscription or access controls

  • Share paid accounts contrary to the applicable plan

  • Impersonate Instant Alex, its team or another user

  • Use Instant Alex to harass, threaten or harm another person

  • Use the Services to infringe intellectual property or privacy rights

  • Use the Services in a manner that violates applicable UAE law or other applicable law

19. THIRD-PARTY SERVICES

Instant Alex may integrate with or contain links to third-party services.

These may include services such as:

  • Google

  • Payment providers

  • Analytics providers

  • AI technology providers

  • Social media platforms

  • Other technology providers

Third-party services are controlled by their respective providers.

We are not responsible for the availability, accuracy, security, content or policies of third-party services.

Your use of a third-party service may be subject to that provider's own terms and policies.

20. AVAILABILITY OF THE SERVICES

We aim to keep Instant Alex available and functioning reliably, but we do not guarantee that the Services will always be:

  • Available

  • Uninterrupted

  • Error-free

  • Secure

  • Compatible with every device

  • Free from bugs or technical issues

The Services may occasionally be unavailable due to:

  • Maintenance

  • Updates

  • Technical problems

  • Security incidents

  • Third-party service outages

  • Internet or infrastructure issues

  • Circumstances outside our reasonable control

We may modify, suspend or discontinue features or parts of the Services as the platform evolves.

21. ACCOUNT SUSPENSION OR TERMINATION

We may suspend or terminate your access to Instant Alex if we reasonably believe that:

  • You have materially breached these Terms

  • You have engaged in fraudulent or unlawful activity

  • Your use creates a security or legal risk

  • You have attempted to abuse the Services

  • You have failed to make required payments

  • Your conduct materially harms other users or Instant Alex

Where reasonably possible, we may provide notice and an opportunity to remedy a breach before termination.

Nothing in this section limits any rights you may have under applicable law.

22. EFFECT OF TERMINATION

If your account is terminated or you choose to close your account:

  • Your right to access the Services may end.

  • You may lose access to account content and paid features.

  • We may retain certain information where required or permitted by law.

  • Sections of these Terms that by their nature should survive termination will continue to apply, including provisions concerning intellectual property, liability, disputes and applicable law.

23. DISCLAIMERS

To the maximum extent permitted by applicable law, Instant Alex provides its Services on an “as available” basis.

We do not guarantee that information provided through Instant Alex will always be:

  • Complete

  • Accurate

  • Current

  • Suitable for your circumstances

  • Free from errors

You are responsible for determining whether information or recommendations are appropriate for your business.

Nothing in these Terms excludes any warranty, condition, right or remedy that cannot legally be excluded under applicable law.

24. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Instant Alex will not be responsible for indirect, incidental, special, consequential or punitive losses arising from your use of the Services.

This may include loss of:

  • Profits

  • Revenue

  • Business opportunities

  • Data

  • Reputation

  • Goodwill

However, nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability that cannot legally be excluded or limited.

Where permitted by law, our total liability arising from your use of the Services will be limited to the amount you paid to Instant Alex for the Services giving rise to the claim during the applicable period preceding the event giving rise to the claim.

25. INDEMNITY

To the extent permitted by applicable law, you agree to indemnify and hold harmless Instant Alex, its owners, directors, employees, contractors and service providers from claims, losses, liabilities and expenses arising from:

  • Your material breach of these Terms

  • Your unlawful use of the Services

  • Your infringement of another person's rights

  • Content you submit to the Services

  • Your misuse of third-party integrations

This section does not apply to the extent that the relevant claim results from our own unlawful conduct, negligence or other circumstances where indemnification cannot legally be required.

26. PRIVACY

Your use of Instant Alex is also governed by our Privacy Policy.

Our Privacy Policy explains:

  • What information we collect

  • How we use it

  • How we protect it

  • How third-party integrations work

  • Your privacy rights

  • How to contact us about your personal information

Our Privacy Policy is incorporated into these Terms by reference.

27. CHANGES TO THESE TERMS

We may update these Terms from time to time.

When we make material changes, we may notify you through the Services, by email or by another appropriate method.

The updated Terms will become effective on the date stated in the updated Terms.

Your continued use of Instant Alex after the effective date means that you accept the updated Terms, to the extent permitted by applicable law.

If you do not agree with a material change, you should stop using the Services and, where applicable, cancel your subscription.

28. GOVERNING LAW

These Terms are governed by the laws of the United Arab Emirates, subject to any mandatory consumer protection or other legal rights that apply to you.

Any dispute arising from or relating to these Terms or the Services will be subject to the jurisdiction of the competent courts of the United Arab Emirates, unless applicable law requires otherwise.

29. CONSUMER RIGHTS

Nothing in these Terms is intended to remove or restrict mandatory rights or protections available to consumers under applicable UAE law.

Where applicable law gives you rights that cannot be waived or limited by contract, those rights remain unaffected.

The UAE consumer-protection framework emphasizes consumers' right to receive information enabling informed purchasing decisions and provides protections concerning services and legitimate claims.

30. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted.

The remaining provisions will continue in full force and effect.

31. NO WAIVER

If we do not immediately enforce a provision of these Terms, that does not mean we waive our right to enforce it later.

32. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any other policies expressly incorporated into them, constitute the agreement between you and Instant Alex concerning your use of the Services.

If a specific paid plan has additional terms presented at checkout, those terms will also apply to that purchase.
